Guaranteed Maximum Price Contracts Support Project Financing Efforts and Advance Northern Pipeline into the Construction Phase

Following federal approval of the right-of-way (“ROW”) grant for the Northern Pipeline, Cadiz Inc. (NASDAQ: CDZI) (“Cadiz” or the “Company”) today announced that its affiliate Fenner Gap Mutual Water Company (“Fenner Gap”), has executed the principal construction contracts for the Northern Pipeline conversion project (“Northern Pipeline”). The agreements utilize a Construction Manager at Risk (“CMAR”) delivery model that establishes guaranteed maximum prices for the Northern Pipeline’s principal construction components, including pump stations and pipeline replacement. These contracts, together with contractual pricing for owner-procured equipment and materials, as well as purchase options and supplier quotations for other necessary components establish the estimated capital expenditures required to place the Northern Pipeline into service at approximately $403.3 million.

The CMAR delivery structure provides Fenner Gap with contractually established guaranteed maximum prices for the project’s principal construction packages while allowing the Company to directly procure major long-lead equipment and materials. This approach is intended to reduce construction cost uncertainty, preserve flexibility to competitively procure major equipment and materials, and establish a defined construction capital budget that can be used in connection with the Company’s project financing activities for the Mojave Groundwater Bank.

As previously announced on July 10, 2026, the U.S. Bureau of Land Management (“BLM”) approved a ROW grant authorizing construction, conversion and operation of the Northern Pipeline for water conveyance across BLM-managed lands under Title V of the Federal Land Policy and Management Act (“FLPMA”). Following issuance of the ROW grant to Fenner Gap, the Company completed the customary submittals required by the BLM, including payment of a reclamation bond, construction notifications and other documentation required under the grant.

Earlier this year, San Bernardino County and Fenner Gap formed the San Bernardino Water and Power Authority, a Joint Powers Authority, to support the planning and development of water and energy infrastructure projects in San Bernardino County. The Authority is expected to play a key role in supporting the project financing through the issuance of municipal bonds and other debt instruments.

The Company continues to advance efforts to secure equity capital, municipal debt, and federal infrastructure financing. The CMAR contracts are expected to support these financing activities, including the Company’s previously announced application for up to $194 million in financing through the U.S. Environmental Protection Agency’s Water Infrastructure Finance and Innovation Act (“WIFIA”) program.

Reducing construction risk through maximum price guarantees is also expected to advance ongoing discussions with potential equity investors in the Company’s water infrastructure projects. Importantly, the contracts establish a benefit sharing mechanism to incentivize our construction partners to further reduce the project’s total cost.

Jacinto J. Hernandez named executive vice president of finance and chief financial officer; Stanley E. Speer to retire in September 2026.

Hernandez has been named the Company’s next Chief Financial Officer, effective September 1, 2026. Hernandez succeeds Stanley E. Speer, who will retire after 17 years with the Company and continue in an advisory role through December 31, 2026, to facilitate the transition. As part of the planned leadership transition, the Company’s Controller, Teffiny Bagnara, has been promoted to Vice President.

Mr. Hernandez is the founder and principal of Cummings Consulting & Management, where he advises corporations and boards on capital allocation, mergers and acquisitions, and capital markets strategy. Previously, he spent 22 years with Capital Group and its subsidiary, Capital World Investors, where he served as a Partner and Investment Analyst evaluating and investing in companies across a broad range of industries and market capitalizations. During his tenure, he helped lead the research portfolio for one of the world’s largest growth mutual funds, held several leadership and operational roles, and built a successful investment track record across equities, convertible securities and high-yield debt. Throughout his career, he worked closely with management teams and boards on corporate strategy, capital allocation and long-term value creation.

Mr. Hernandez has also served on the boards of Pioneer Natural Resources Company (NYSE: PXD), Altria Group, Inc. (NYSE: MO), Aris Water Solutions, Inc. (NYSE: ARIS), Coterra Energy Inc. In connection with his employment, and subject to approval by the compensation committee of the Company’s board of directors and execution of an award agreement approved by the compensation committee, Mr. Hernandez will be granted 800,000 restricted stock units (“RSUs”) and 800,000 performance stock units (“PSUs”), which awards will be granted as inducement awards outside of the Company’s 2019 Equity Incentive Plan in accordance with, and pursuant to, Nasdaq Listing Rule 5635(c)(4). Of the RSUs, 200,000 will be fully vested upon grant, and the remaining 600,000 will vest in twelve approximately equal quarterly installments over three years, subject to Mr. Hernandez’s continued employment. The PSUs will vest in four tranches of 200,000 units each upon the Company’s common stock achieving certain price hurdles, subject to Mr. Hernandez’s continued employment, with any tranche whose price hurdle is not achieved within five years of grant to be forfeited. MOU expands companies’ green hydrogen collaboration by adding on-site solar generation and advancing hydrogen infrastructure planning in California’s Mojave Desert.

LOS ANGELES, Calif. — Cadiz, Inc. (NASDAQ: CDZI, CDZIP) (“Cadiz”) and RIC Energy (“RIC”) today announced they have entered into a Memorandum of Understanding (“MOU”) to develop on-site solar facilities that will accelerate the transition of Cadiz’s agricultural operations to clean, renewable energy while expanding the companies’ collaboration on green hydrogen development. The MOU also establishes a framework to evaluate the feasibility of siting, permitting and constructing dedicated hydrogen transportation infrastructure—including hydrogen pipelines and other transport solutions—utilizing Cadiz’s existing 220-mile Northern Pipeline corridor and other rights-of-way to support future delivery of hydrogen to regional markets and other off-site customers.

The MOU announced today expands a strategic collaboration launched by the two companies in October 2024 to develop green hydrogen production at Cadiz Ranch by adding on-site solar generation as the first phase of an integrated renewable energy platform. Under the MOU, RIC will develop solar facilities to power Cadiz’s agricultural operations while the companies continue advancing hydrogen production facilities and related infrastructure at Cadiz Ranch. Together, the solar and hydrogen projects are intended to provide reliable, cost-effective, low-carbon energy resources for Cadiz’s agricultural operations, the Mojave Groundwater Bank and other regional water supply projects in San Bernardino County.

Under the MOU, the companies will negotiate a definitive power purchase agreement (PPA) for electricity generated by new on-site solar facilities while jointly planning infrastructure to support future hydrogen production, storage and delivery. The framework also provides for coordinated evaluation of electrical infrastructure, transmission facilities and other systems needed to integrate solar generation with future hydrogen production at Cadiz Ranch.

As part of this effort, the companies will evaluate the feasibility of siting, permitting and constructing dedicated hydrogen transportation infrastructure, including hydrogen pipelines and other transport solutions, within Cadiz’s existing 220-mile Northern Pipeline corridor and other rights-of-way to support delivery of hydrogen to regional markets and other off-site customers. The infrastructure planning effort is intended to preserve practical, cost-effective pathways for future hydrogen transportation while supporting development of regional water and energy infrastructure projects throughout San Bernardino County.

The MOU follows two recent milestones that position the Company to commence construction of the Mojave Groundwater Bank upon completion of project financing. Earlier this month, the U.S. Bureau of Land Management approved a new right-of-way grant for Cadiz’s 220-mile Northern Pipeline, allowing the Company to convert the pipeline from natural gas service to water conveyance. Earlier this year, San Bernardino County and Fenner Gap Mutual Water Company formed the San Bernardino Water and Power Authority to support the financing and development of regional water and energy infrastructure projects throughout San Bernardino County.

Federal approval for conversion of pipeline clears path for construction

Los Angeles, CA – July 10, 2026 –  Cadiz, Inc. (NASDAQ: CDZI/CDZIP, the “Company”) is pleased to announce today that the U.S. Bureau of Land Management (“BLM”) issued a final decision approving the right-of-way (“ROW”) grant that allows the Company to begin construction on conversion of the Cadiz Northern Pipeline from natural gas to water conveyance. BLM’s approval of the ROW, when fully executed by the Company, authorizes the conversion and operation of the Northern Pipeline for the conveyance of water on BLM-managed lands under the authority of Title V of the Federal Land Policy and Management Act (“FLPMA”).

“We’re excited to achieve this pivotal milestone,” said Susan Kennedy, Chair and CEO of Cadiz.  “After many years of planning and environmental review, the project is now ready to begin the construction stage.”

The Northern Pipeline will convey water from the Mojave Groundwater Bank, one of the largest new water supply projects in the Colorado River Basin, to High Desert and Inland Empire communities in California’s San Bernardino County, and is expected to provide one of the lowest-cost sources of new water in the drought-plagued Southwest.

“With long-term offtake agreements and construction contracts in place, this federal permit marks a key milestone as we finalize project financing with prospective investors.”

Cadiz completed the purchase of the existing 220-mile Northern Pipeline from El Paso Natural Gas (“EPNG”) in 2020.  The buried steel pipeline was maintained as a natural gas pipeline under a 30-year Mineral Leasing Act ROW that was renewed in 2020 and assigned in part to Cadiz in 2023.  Last year, Fenner Gap Mutual Water Company (“FGMWC”)—the mutual water company formed by Cadiz in 2010 to manage and operate the Mojave Groundwater Bank, applied for a FLPMA ROW to change the use of the pipeline from gas to water including the construction of pump stations and related facilities, The decision by the BLM announced today approves a new FLPMA ROW authorizing the conversion of the existing pipeline.

The ROW authorizes use of the pipeline to convey water across BLM managed lands and permits the long-term operation of the Northern Pipeline. The ROW will extend for 50 years after the grant, based on the projected operational life of the pipeline.

In 2024, Cadiz entered into commercial water supply agreements with public water agencies and investor-owned utilities to provide dedicated water supplies through the Northern Pipeline under long-term contracts. The Mojave Groundwater Bank is supported by fully adjudicated water supply permits, completed environmental studies, and is in advanced stages of engineering, procurement and construction contracting. When placed into service, the Northern Pipeline will enable delivery of up to 25,000 acre-feet of new water supplies annually, with the ability to expand as additional Mojave Groundwater Bank facilities are developed.

CAIDD and Cadiz Inc. execute MOU for new water supplies to support  long-term water reliability in Arizona

PHOENIX, AZ and CADIZ, CA – July 2, 2026 –  Central Arizona Irrigation and Drainage District (“CAIDD”) and Cadiz, Inc. (NASDAQ: CDZI, CDZIP) today announced execution of a Memorandum of Understanding (“MOU”) for the purchase and sale of up to 10,000 acre-feet per year (“AFY”) of new water supply from Cadiz’s Mojave Groundwater Bank in San Bernardino County, California.

The MOU represents the first agreement for water supply from the Mojave Groundwater Bank with an Arizona water district and provides access to a new source of water supply for Arizona at a time when prolonged drought and shortages are expected to reduce deliveries of Colorado River water to farms, communities, businesses, and tribes throughout the Lower Basin. CAIDD is one of central Arizona’s largest agricultural water districts, serving approximately 87,600 irrigated acres in Pinal County. Upon completion of off-take and exchange agreements and construction of pipeline facilities, the MOU would enable delivery of up to 10,000 AFY of groundwater supplies from the Mojave Groundwater Bank to CAIDD through an interstate exchange of  Colorado River water.

For CAIDD, the agreement provides access to firm supplemental supplies that support the long-term reliability of water deliveries to its agricultural customers. The transaction also advances Cadiz’s collaboration with the U.S. Department of Interior Bureau of Reclamation (“Reclamation”) under a September 2025 Memorandum of Understanding to evaluate the Mojave Groundwater Bank as a new water supply and storage resource for the Lower Colorado River Basin. As part of that collaboration, Reclamation is expected to evaluate the proposed interstate exchange to identify the legal and operational requirements necessary to implement and account for interstate exchanges under the Law of the River.

The proposed CAIDD transaction is consistent with current Reclamation efforts to evaluate interstate exchange mechanisms that could integrate new water supplies developed outside the Colorado River system into Lower Basin water management. Earlier this year, Reclamation entered into an MOU with the San Diego County Water Authority and water agencies in California, Arizona and Nevada to evaluate interstate exchanges involving desalination, recycled water and other augmentation projects. The proposed CAIDD transaction is expected to be reviewed by Reclamation under a similar exchange mechanism, through which non-Colorado River water supplies could be made available to Arizona through an exchange of Colorado River water.

Under the proposed terms, CAIDD would secure rights to purchase up to 10,000 AFY of conserved groundwater for an initial 50-year term with renewal opportunities. Initial pricing would include a volumetric charge of $850 per AFY (2025 dollars) plus operations, maintenance, and pro-rated power costs for conveyance to the Colorado River Aqueduct, and a one-time prorated capital charge per acre-foot for dedicated pipeline capacity. The parties intend to work cooperatively with Reclamation and Lower Basin water agencies to establish the necessary interstate exchange agreements and pursue available federal and state resources to reduce infrastructure costs and deliver new water supplies to Arizona at the lowest practical cost.

LOS ANGELES, CALIFORNIA (06.22.26) – Cadiz, Inc. (NASDAQ: CDZI / CDZIP) (“Cadiz,” the “Company”), a California water solutions company, today announced that its Board of Directors has declared the following cash dividend on the Company’s 8.875% Series A Cumulative Perpetual Preferred Stock (the “Series A Preferred Stock”).

Holders of Series A Preferred Stock will receive a cash dividend equal to $550.00 per whole share. Holders of depositary shares, each representing a 1/1000 fractional interest in a share of Series A Preferred Stock (Nasdaq: CDZIP), will receive a cash dividend equal to $0.55 per depositary share.

The dividend will be paid on July 15, 2026, to applicable holders of record as of the close of business on July 2, 2026.

A funding agreement signed this week between Cadiz, Inc. and the US Bureau of Reclamation has put fresh attention on one of the American Southwest’s most contested water infrastructure proposals: the Mojave Groundwater Bank, a conjunctive-use groundwater storage project in southeastern California that has been seeking regulatory approval for nearly three decades.

Under the agreement, Cadiz will finance Reclamation’s technical review of the project, covering validation of water supply resources, assessment of proposed water exchange mechanisms within the Colorado River System, and identification of steps required to enable potential federal investment. Work is expected to begin immediately.

The project itself is substantial in scale. Located in the Cadiz and Fenner valleys in the Mojave Desert, near California’s borders with Arizona and Nevada, the bank sits above an aquifer estimated to hold 30 million acre-feet of groundwater. It is designed to connect the Colorado River and California State Water Project systems through new pipeline infrastructure, including converted fossil fuel pipelines. Cadiz claims it could deliver up to 75,000 acre-feet per year of reliable supply, and also store up to one million acre-feet of water imported from outside sources during wet years for later withdrawal. The Bureau of Reclamation’s technical review, funded under this week’s agreement, will specifically include validation of water supply and delivery capability.

Cadiz chair and CEO Susan Kennedy described the agreement as “an important step forward in our collaboration with Reclamation and other stakeholders to evaluate the Mojave Groundwater Bank’s potential role in augmenting water supplies within the Colorado River system and improving water supply reliability throughout the Southwest.”
