On August 27, 2024, the Department of Planning and Investment under the People’s Committee of Hanoi (hereinafter referred to as the “Department”) issued Notification No. 1730/TB-KH&DT regarding the creation of accounts for investors after receiving their initial investment registration certificate. This is an important website for investors and enterprises engaged in foreign direct investment (hereinafter referred to as “FDI”) and outward foreign investment (hereinafter referred to as “OFDI”).
For local FDI management agencies such as the Department of Planning and Investment, the system allows for convenient updating of data regarding registration, issuance/amendment/revocation of investment certificates or equivalent legal documents. It enables the reception and management of various reports and the convenient updating of data into the database, allowing for easy retrieval of all information related to investment projects under their management. At the same time, it allows FDI management agencies to compile, analyze, and generate reports as required, including both standard and specific report formats for projects within their jurisdiction.
This reporting is extremely necessary, especially during the process of submitting applications for investment certificates and the issuance/amendment/revocation of investment certificates or equivalent legal documents. Creating an account will help investors avoid fines for not reporting as required or facing inspections when making adjustments or revocations of investment certificates or equivalent legal documents. Companies that do not update investment monitoring and evaluation reports on the National Information Portal will be penalized according to Article 10 of Decree 122/2021/ND-CP .

]]>Law on Natural Disaster Prevention and Control 2013 (Amended and supplemented by Law on Natural Disaster Prevention and Control and the Levee Law 2020) stipulates the natural disaster prevention and control fund, including the following provisions:
“Financial sources of a provincial natural disaster management fund include assistance and voluntary contributions of domestic organizations and individuals; compulsory contributions of domestic and foreign business entities within the province, Vietnamese citizens from at least 18 years of age to retirement age in normal working conditions in accordance with labor regulations; are extracted from the central natural disaster management fund, other provincial natural disaster management funds and other lawful sources”
(The Law on Natural Disaster Prevention and Control 2013 (amended and supplemented by the Law on Natural Disaster Prevention and Control and Law on Dikes 2020) )
On August 1, 2021, the Government issued Decree No. 78/2021/ND-CP, effective from September 15, 2021, on the establishment and management of the Natural Disaster Prevention and Control Fund, which stipulates the contribution to the natural disaster prevention and control fund of domestic and foreign economic organizations in Vietnam. Specifically as follows:
1. On Mandatory Contribution Levels
According to Clause 1, Article 12 of Decree 78/2021/ND-CP, the regulation states:
“The mandatory contribution from domestic and foreign economic organizations within the locality in one year is 0.02% of the total value of current assets as per the financial report prepared on December 31 annually, that submitted to the Tax authority. However, the minimum contribution is 500,000 VND, and the maximum is 100 million VND, and it is accounted into the operating costs of the organization’s production and business.”
2. On Mandatory Payment Deadlines
In Article 15 Decree 78/2021/ND-CP, the regulation states:
“The deadline for payment to the provincial fund: For individuals, payment is made once before July 31 annually; for domestic and foreign economic organizations within the locality, at least 50% of the required amount must be paid before July 31, with the remainder paid before November 30 annually. In cases of prolonged natural disasters or epidemics affecting a large scope, the Chairman of the Provincial People’s Committee may consider adjusting the payment deadline or decide to exempt
or reduce the contribution to the provincial fund as appropriate.”
3. On Penalty Sanctions for Violations

In addition to the fine, for the above violations, organizations are also required to remediate the consequences as per Clause 3, Article 17 of Decree 03/2022/ND-CP: “Be compelled to make payment to the disaster management fund”.
4. Regarding prescriptive time limits for imposing penalties
According to Point a, Clause 1, Article 5 of Decree 03/2022/ND-CP, the statute of limitations for administrative sanctions in the field of disaster prevention and water resources is 1 year.
The starting point for calculating the statute of limitations is stipulated as follows: “Regarding natural disaster management and irrigation, the prescriptive time limit shall be 01 year.” In which:
・“The administrative violations specified in Articles 16, 17, and 36 of this Decree” are “administrative violations that have ended” (Clause 4.b, Article 5 of Decree 03/2022/ND-CP)
・“The time when the violation specified in Article 17 of this Decree ends” is “the day the deadline for Fund contributions ends or the day the deferment period for Fund contributions ends as stipulated in Decree 78/2021/ND-CP dated August 1, 2021, on the establishment and management of the Disaster Prevention Fund” (Clause 4.b, Article 5 of Decree 03/2022/ND-CP).
Accordingly, the statute of limitations for administrative sanctions regarding the violations specified in Article 17 of Decree 03/2022/ND-CP is 1 year, calculated from the deadline for Fund contributions or the end of the deferment period as per Decree 78/2021/ND-CP dated August 1, 2021, on the establishment and management of the Disaster Prevention Fund.

2. 輸出を始めるにあたって
ベトナムは、人口9,170万人、南部最大都市ホーチミン市では1人あたりGDPが5,000ドルを超え、安い人件費を求めた生産拠点としてだけでなく、近年、市場としても注目されている。ベトナムに生産拠点を持つ企業が内販をするだけでなく、拠点を持たず日本などベトナム国外から輸出し、ベトナム市場に参入する企業も増加している。しかしながら、実際の市場はまだまだ成熟しておらず、知られている商品群も少なくマーケティングに時間とコストがかかることや、現地の人に受け入れられない。また、代理店から資金回収ができないなど、懸念事項が多いことも注意が必要であり、輸出を始める前に、十分なリスク回避対策も検討しなければならない。図 2 ベトナムと南部における人口推移(人)

日本製品はというと、ベトナムでは安心や安全、健康を求める傾向があり、好印象である。一方で、高価格というイメージも並行してある。すなわち、高級ではない食品や飲料、サプリメントや化粧品などは輸出にも向いていると考えられる。一方、高級食材や日本独自の文化に関する商品は市場が小さいため事前によく検討が必要である。
さらに、工業国を目指してはいるものの、非常に限られた産業構造で幅が広くないことや、原料がなく加工が中心であること、技術力が特別高くないことなども現状としてある。日本の技術は良いというイメージはあるが、それがベトナム市場とマッチするのか、将来的にどれくらいのニーズが見込めるかなども十分に調査が必要である。
従い、日本での成功事例、諸外国での成功事例にとらわれず、しっかりとベトナムの現状と向き合い、進出をされて欲しい。
3. 販売委託先選定のステップ
続いて、本章では販売委託先選定の流れや注意点を紹介する。ベトナムの多くの販売代理店は、輸入代理店や小売など複数の業態を兼ねていることが多い。

a. 代理店候補探索
パートナーとなる、販売店や販売代理店候補を探す際には、ジェトロや現地のコンサルティング会社、商工会議所などにアプローチして現地で代理店となりうる企業の情報を入手する。どのような業種で、どのような特徴のある企業を希望するか、また、絶対譲れない点(MUST)や譲れる可能性もあるが欲しい点(WANT)を明確にしておくと良い。
ベトナム企業は、自社のホームページを持つ企業も多いが、ベトナム語のホームページしかない企業も数多く存在する。更新がされていないことや、実情に反する情報を掲載していることもあるため、参考程度に留め全部を鵜呑みしないようにしたい。
また、ベトナム企業の多くは、ベトナム語での取引を好む。企業の体制によっては、英語での取引が可能なところもある。ごく稀に日本語も可能なところがある。従い、初コンタクト段階からベトナム語(または英語)の資料の準備やコミュニケーション能力が必要となる。日本と比較し、わからない場合に放置することやメールを返信しないことなどは多く見受けられるため、積極的なコミュニケーションが求められるかもしれない。ならびに、ベトナム語通訳によるサポートが必要な場合もあるかもしれない。
b. 現地視察・商談
情報収集後、実際に代理店候補の企業を訪問し商談をするアポイントを取得する。アポイント失念や突然のキャンセルは日本と比較し多いため、リマインドやそのような心構え、代替案もあると良い。100%思い通りにはいかないことがほとんどである。商談の際は、どのような会社でどのような方針で、ベトナムでどんなことをしていきたいかの想いを具体的に伝えると良い。忘れてはならないのは、日本では知名度が高くてもベトナム企業にとっては知らないこと初めて聞くが多いことである。メールは英語でできても面談はできないという担当者も多いことから、事前にベトナム語通訳の有無の確認は必要。その上、外国人や外国語同士でのコミュニケーションとなるため、言葉だけではなく、写真や動画、サンプルなど視覚からの情報がとても有効的である。
都心部でも鉄道など公共交通機関は整備されておらず、移動手段は、運転手付レンタカーやタクシーである。場所がわからなくなった場合や予期せぬ渋滞などに備え、ベトナムで使える携帯電話の準備が必要。SIMが安く手に入るので、SIMフリー携帯やベトナムで使用できるWiFiルーターのレンタルをおすすめする。
c. 見積り依頼
現地視察・商談を通し合格した企業に見積り依頼をする。この際、船積み条件や支払条件、その他条件などを明確にし、見積りを依頼するとスムーズである。
d. 販売委託先との契約
海外との取引において契約書の重要性は高く、日本の感覚での紳士協定は危険であることを理解した上で、専門家に相談するなどして、適切なものを作成することが勧められる。また、ベトナム企業との契約のため、 越語を含む複数言語とすることが望ましい。
1)契約形態
主に、販売店契約と販売代理店契約がある。実務上必ずしも明確に類型化されているわけではないが、傾向として、前者の場合、販売店が売主から商品を買い取り、自ら在庫リスクを取って商品を販売する取引を指す場合が多い。他方、後者は、商品販売の仲介をすることで、販売実績に応じてコミッションを受け取るもので、代理店は在庫リスクを取らない(返品可)取引を指す場合が多い。また、売買基本契約や取引件数が少ない場合個別の売買契約、販売委託契約等が選択される場合もある。
2) 契約書の作成
ベトナムにおける民法や商法等の民事法令と日本におけるそれとの間には劇的な相違はなく、日本企業が通常用いる海外取引向けの契約書のフォームをアレンジすることで対応できる場合も多い。但し、重要な契約については勿論弁護士等現地法令の専門家の助言の下作成すべきである。準拠法や裁判管轄、優先言語等考慮を要する事項も多いからである。専門家に作成を依頼する場合、自社が海外や日本国内における同種取引で通常使用しているフォームを提示すると、時間やコストの節約になり、また出来上がった契約書が自社の実務により即したものとなる場合が多い。なお、特に優先言語をベトナム語とする場合には、日本語や英語とベトナム語との齟齬を逐一点検する必要があり、言語間の齟齬の防止という観点からも専門家の助言を仰ぐ必要性が高まる。
e. 輸入許可・商品登録
仕出地から輸出される前や仕向港到着時、ベトナムへの輸入通関時、ベトナム国内流通前に、必要な手続きや書類などがある。これから商品により異なるため、輸出前に品目ごとの必要事項を確認する必要がある。同類の商品を扱う代理店に経験があれば、それらの手続きを一任すると良い。一方、経験や知識のない代理店と取引する際は、時間や費用に余裕を持ち挑む心構えが必要である。また、その場合の費用負担についても事前に協議が必要かもしれない。
例えば、食品の場合、「食品登録」と呼ばれる手続きが必要である。大きな流れは、書類確認、ラベルの翻訳、保健省にサンプリング方法の確認、サンプルリング、サンプル結果とラベルの翻訳内容を登録、登録完了後、船積み、検疫、通関である。保健省にサンプリング方法の確認とあるように、アイテムごとに必要書類や手続きが異なるため、それぞれ確認をする必要がある。
f. 出荷・通関手続き
上述したように、輸入時の手続きも複雑な場合があるため、日本またはその他国からの輸出手続きや、ベトナムでの輸入手続きは、現地に精通しているまたは、現地にパートナーがおり経験や知識がある物流会社を通して行うと良い。
4. 決済方法
売買契約における支払い形式の法令上の規定はなく、両当事者の合意によって決めることができる。ベトナム企業との取引における実務上では、T/T(Telegraphic Transfer Remittance)が多く、L/C(Letter of Credit)はあまり一般的ではない。T/Tの場合、取引銀行の送金手数料や経由銀行での手数料など事前にわかりにくい費用がかかる可能性があり、それら費用をどちらが負担するかなども事前に確認しておきたい。さらに、日本人にはあまり馴染みがないかもしれないが、前金の要求も一般的にある。資金回収のリスク軽減も考え、30%〜50%の前金を要求することも検討したい。さらに、取引が間もない場合や相手の信用度合いにより、一括払いではなく、数回に分けた分割払いにすることでリスク軽減をする企業も一定数存在する。
5. 現地派遣
残念ながら、「代理店と契約をすれば、売れる。」というわけではない。経験が豊富な代理店であれば、知識や経験を使い、ある程度は販売するが、日本側が想定しているように商品が売れないこともごく普通にある。そのため、マーケティングや販促活動は日本からの支援が必要になるケースも多い。もちろん出張ベースでも可能だが、定期的な代理店との交渉や現地の市場調査のため現地法人や駐在員事務所を設立する企業も存在する。余談かもしれないが、外務省が2014年に発表した日本企業駐在出張所数のトップ国はベトナムだったことからも、代理店支援のニーズも少なからず影響していると考えられる。しかし、2016年3月に駐在員事務所の外国企業の駐事等の設立に関する詳細規定「Decree 07/2016/ND-CP」が施行され、駐在員事務所の活動範囲が「連絡」、「市場調査」、「本社(外国法人)の事業促進」と定められ、活動内容に対する規制が厳しくなる傾向にはある。どのような形で現地派遣するかも検討されたい。以上

A joint force between local authorities and the Institute of Environmental Technology yesterday afternoon announced their testing results and affirmed that the reddish streak did not start from the Hưng Nghiệp Formosa Steel Corporation’s sullage pit.
Nguyễn Văn Toàn, the institute’s inspector said his taskforce team had arrived at the site to monitor the discharge of Formosa and took samples for testing three times in a month and at different time a day, but no link between the streak and Formosa waste water discovered.
“There’s no type of reddish waste water from Formosa,” he said, adding that Formosa sullage pit did not look like the one captured by a clip broadcasted on social network that show a strong reddish flow.
In a month, residents living near the coast where Formosa is based found a reddish streak on water edge and later a video clip spread out on social network saying that the start of the streak was from Formosa discharge system.
The clip appeared online last Saturday but it did not show capturing time and it was difficult to identify the location. But it sparked angers among Vietnamese netizens as they suspected Formosa once again release waste to the ocean after the deadly spill in April last year.
Public pressure has resulted in an inspection to Formosa yesterday by the joint force. Hoàng Thanh Tùng, deputy manager of Hà Tĩnh Authority for Industrial Parks said every sullage pit owned by Formosa have been checked and he assured no pit similar the one in the clip.
Formosa’s representative added that the company has three discharge gates open to the ocean and each has locker to manage the release of waste water. They all are in different size compared to the one in the clip, the representative said.
Dương Tất Thắng, deputy chairman of Hà Tĩnh Province People’s Committee affirmed the existence of a 50m reddish streak at local coast but called it a natural phenomenon that occurs annually during winter.

A pilot labour inspection campaign in the apparel industry uncovered 1,786 violations at 152 businesses in 12 cities and provinces across the country, according to the Ministry of Labour, Invalids and Social Affairs (MoLISA).
The inspections were conducted from May to September this year by MoLISA inspectors in co-ordination with the International Labour Organisation (ILO), the Vietnam General Confederation of Labour, and the Vietnam Chamber of Commerce and Industry.
MoLISA Deputy Minister Huynh Van Ty said the apparel industry was chosen for the test inspections because it had been a key foreign currency earner for Vietnam in recent years, bringing in 13.6 percent of the country’s export revenue and 10.5 percent of total gross domestic product. The sector posted an annual growth rate of 14.5 percent between 2008 and 2013.
About 6,000 apparel enterprises operate in Vietnam. They employ more than 2.5 million workers, accounting for about 25 percent of the industrial workforce. Most employees were manual labourers with limited professional skills, Ty said.
The most common violation was overtime hours exceeding the stipulated excess time, MoLISA Deputy Chief Inspector Nguyen Tien Tung said, adding that 60 companies committed the violation.
Seventeen firms did not provide sufficient overtime or night shift pay, while salaries in 11 businesses were lower than the region-based minimum wage levels set by the State.
He said that a number of enterprises did not have safety and instructional signs, and didn’t disseminate information on how to escape in an emergency. They also didn’t post the regulations and escape route maps in visible areas.
A shortage of personal protective gear was also common, and numerous labourers did not use the equipment correctly. About 90 businesses did not have sufficient occupational safety training.
MoLISA will propose similar inspections to be conducted in the construction industry next year, which has seen numerous work accidents in 2015

]]>The 1.1 billion USD expansion project will be carried out by the Doosan Heavy Industries and Construction (the Republic of Korea), Mitsubishi Corporation (Japan), along with the local Power Engineering and Consulting 2 JSC and Pacific Ocean Engineering JSC.
Once becoming operational in the end of 2019, the 600MW-capacity plant is able to add some 3.6 billion kWh to the national grid.
The expanded plant will take advantage of available facilities of the under-construction Vinh Tan 4 Thermal Power Plant, including construction ground, port and roads. Construction of the plant will be commenced in the first quarter of this year.

The survey, which was released at a meeting of the Central Steering Committee for Sustainable Poverty Reduction in Hanoi on March 10, reveals that the Northeastern region records the second largest rate of poor and near-poor households with 29 percent, followed by the Red River Delta and the Southeastern regions, both with less than 10 percent.
Deputy Minister of Labour, Invalids and Social Affairs Nguyen Trong Dam said figures have been collected in almost all localities nationwide in line with poverty standards set for 2016-2020.
Addressing the event, Deputy Prime Minister Vu Van Ninh, who is also head of the committee, asked the Ministry of Labour, Invalids and Social Affairs to accelerate the conducting of the survey in localities that have yet to finish, in order to identify priority localities for the 2016-2020 National Target Programme for Sustainable Poverty Reduction.
By the end of March, the ministry will have to collect all the figures to report to the Government.
The programme aims to see an average drop of 1.0-1.5 percent in household poverty rates and 4 percent annually in impoverished localities. Priorities will be given to disadvantaged communes in coastal, island, mountainous and border areas.
The programme will receive at least 46.1 trillion VND (2.1 billion USD) of investment, of which 41.4 trillion VND (1.9 billion USD) will come from the State budget.-VNA

The new airline will be named VASCO and has a minimum charter capital of 300 billion VND (13.43 million USD) and about 10 airplanes.
Vietnam Airlines will hold 51 percent of the venture, while the Vietnam Technological and Commercial Joint Stock Banks (Techcombank) will have a 49 percent stake.
As soon as the airline is established, Techcombank will make an initial investment of 147 billion VND, while Vietnam Airlines will provide aircraft and other assets worth about 157 billion VND.
Vietnam Airlines said the assets will be valued by the Vietnam Valuation and Finance Consultancy Jsc (VVFC) under the Ministry of Finance.
A representative from Techcombank will be appointed as VASCO’s chairman, while the Chief Executive Officer of VASCO will be from Vietnam Airlines.
In its first stages, VASCO will continue to operate ATR72 aircrafts on domestic routes not capable of handling jet airplanes, such as to Con Dao, Ca Mau, Rach Gia and Dien Bien.
The move comes as Vietnam Airlines continues to lose its domestic market share to the low-cost VietJet Aviation Joint Stock Co. Currently, Vietnam Airlines also holds 70 percent of stake in another low-cost carrier, Jetstar Pacific Airlines.

He said he would try to make sure that President Barack Obama will visit the south and Ho Chi Minh City as part of his trip to Vietnam in May.
Ho Chi Minh City welcomes Obama’s upcoming visit, Secretary of the municipal Party Committee Dinh La Thang said, taking note of growing relations between the two nations – particularly after a visit to the US by Party General Secretary Nguyen Phu Trong in July last year.
Ho Chi Minh City pay heeds to cooperation with US localities and enterprises, he added.
According to Thang, the southern hub is home to more than 266,000 companies, which accounts for half of all Vietnam businesses. Aiming to double the number by 2020, local authorities have committed to promoting links in innovation and creativity while supporting start-ups, especially that of young people.-VNA

Director of Vietnam National Tourism Administration’s Market Department Dinh Ngoc Duc said loosened regulations on investment and labour for TPP and AEC member countries will stimulate demand for travelling to seek investment, business and employment opportunities. This will give a boost to the flow of international travellers within the TPP and AEC.
Duc added that most TPP members have also committed to opening the market of business travel among them. With the TPP, international travellers will enjoy more simple procedures and cheaper and faster movement thanks to commitments regarding temporary entry for business persons.
At the same time, the sector has to brace for fierce competition from foreign businesses, which will be allowed to join the domestic tourism market, he said, noting that without a good competition strategy and preparations, domestic companies can lose the battle right on the home ground.
The official suggested local companies to work on improving their capacity and strengthening connectivity to secure their market share.
Quality must come first in developing tours, with due attention given to the business and MICE tourism segment, he said.
Duc also urged coordination among all sectors such as transport, trade and diplomacy to improve tourism’s competitive edges.-VNA

The number of passenger cars sold tumbled 54 percent to 6,446 units, while commercial cars dropped 44 percent to 4,599 units and special-purpose cars decreased 21 percent to 673 units.
In the first two months of this year, the sale of domestically assembled cars increased 24 percent compared to the same period last year. In contrast, imported cars sales fell 24 percent year-on-year, VAMA said.
Overall, auto sales rose 8 percent year-on-year during the Jan-February period, with respective increases of 50 percent and 27 percent in the sales of commercial and special-purpose vehicles.
Truong Hai Auto lead the market in February with 4,184 units sold, accounting for 37.5 percent of market share. It was followed by Toyota Vietnam with 2,367 units, making up 21.1 percent of the total.-VNA
