CHARLOTTE, N.C. — The Carolinas‑Virginia Minority Supplier Development Council (CVMSDC) applauds the announced merger between Durham‑based M&F Bank and South Carolina‑based Optus Bank, a transformative $105 million deal that will create the nation’s largest Black‑owned bank with $1.27 billion in assets. The merger, expected to close in late 2026, represents a powerful example of how scaling, partnerships and strategic collaboration strengthen long‑term sustainability for minority‑owned institutions.

According to news reports, the combined institution will operate 10 branches across North Carolina and South Carolina, maintaining the M&F Bank name for two years before fully transitioning to the Optus Bank banner. Leadership of the merged entity will include M&F CEO James Sills III as CEO and Optus Chairman Paul Mitchell as board chair, bringing together two legacy institutions founded in 1907 and 1921 respectively—each with deep roots in advancing economic mobility for historically underserved communities. This milestone merger underscores the importance of scale in today’s rapidly evolving financial landscape. By combining resources, expanding their footprint, and aligning mission‑driven strategies, the two banks are positioning themselves to deliver greater access to capital, invest more deeply in innovation, and expand economic opportunity for generations to come.

This is the second installment of our five-part series on the Budget Reconciliation Law—often called “One Big Beautiful Bill.” Our goal is to break it down and spotlight the key elements that matter most to business owners, helping you stay informed and empowered to drive growth.

PART 2: Qualified Business Income (QBI) Deduction

The final version of the Budget Reconciliation package, signed into law on July 4, 2025 makes significant and lasting changes to Section 199A of the Internal revenue Code related to the Qualified Business Income (QBI) deduction, a key tax benefit for owners of pass-through businesses such as sole proprietorships, partnerships, and S-corporations. Section 199A lets eligible owners of pass-throughs (sole props, partnerships, S-corps, some trusts/estates) deduct up to 20% of qualified business income on their individual returns, subject to income thresholds, wage/asset limits, and special rules for specified service trades or businesses (SSTBs).

Key Provisions:

  • The legislation makes the 20% deduction permanent, providing long-term certainty to millions of small and mid-sized businesses that had been facing a “tax cliff” in 2026, ensuring they can continue to rely on this deduction as a structural part of their tax planning.
  • The law broadens the income “phase-in range” for limitations. Under the previous rules, taxpayers lose the benefit of the full deduction relatively quickly once their taxable income rises above statutory thresholds, because the wage and capital investment requirements phase in over a $50,000 (single)/$100,000 (joint) band. The new law expands that band to $75,000 for single filers and $150,000 for joint filers. This change softens the impact of the limitations, enabling many businesses—particularly those near the threshold—to retain a larger portion of their deduction and avoid abrupt cut-offs.
  • The law establishes a new minimum deduction for very small, but active, businesses. Taxpayers with at least $1,000 of qualified business income from an activity in which they materially participate are guaranteed a deduction of at least $400, with both the $400 floor and the $1,000 activity test indexed for inflation after 2026. This ensures that even modest entrepreneurial activity generates a tangible benefit, and it recognizes the importance of participation by very small operators in the broader business ecosystem.
  • Finally, the law coordinates these changes with the new itemized deduction limitation under Section 68, the provision in the Internal Revenue Code that limits itemized deductions for higher-income taxpayers. Essentially, the QBI deduction stands on its own – even if you lose part of your mortgage interest or charitable deduction because of the §68 “haircut,” your 20% pass-through deduction is preserved in full.

All of these provisions apply beginning in tax years after December 31, 2025 and are therefore eligible for 2026 tax returns.

Collectively, the permanence of the deduction, the broader phase-in range, and the guaranteed minimum deduction could create a significant benefit to sustaining and strengthening the role of pass-through businesses in the American economy.

This is the first installment of our five-part series on the Budget Reconciliation Law—often called “One Big Beautiful Bill.” Our goal is to break it down and spotlight the key elements that matter most to business owners, helping you stay informed and empowered to drive growth.

PART 1: IMMEDIATE EXPENSING & BONUS DEPRECIATION

The recently enacted Budget Reconciliation Law— often referred to as the “One Big Beautiful Bill”—introduces
some of the most consequential business and investment incentives in over a decade. For businesses prepared to
act decisively, this legislation represents a rare opportunity to strategically leverage the tax code as a catalyst for
accelerated growth and long-term competitiveness. The bill establishes permanent provisions that provide
enduring tax stability and investment predictability, while also incorporating time-bound measures that reward
prompt and deliberate action.

One of these provisions being made permanent is the “immediate expensing and bonus depreciation,” which, if
leveraged correctly, can translate into substantial improvements in cash flow, reductions in the cost of capital, and
expanded capacity for reinvestment.
Bonus depreciation was first introduced as part of the Job Creation and Worker Assistance Act of 2002, designed
to stimulate business investment in the wake of an economic slowdown. Initially set at 30%, it allowed companies
to accelerate deductions for new capital purchases. The Jobs and Growth Tax Relief Reconciliation Act of 2003
increased this rate to 50%.

Over the following decade, bonus depreciation was periodically renewed and adjusted, often in response to
economic downturns, including the 2008 financial crisis. The Tax Cuts and Jobs Act (TCJA) of 2017 marked the
most significant expansion—raising bonus depreciation to 100% for qualifying property placed in service after
September 27, 2017, and before January 1, 2023. This allowed businesses to fully deduct the cost of eligible
assets in the first year, rather than spreading deductions over the asset’s useful life.

Originally scheduled to phase down annually and set to expire completely after 2026, the “Big Beautiful Bill” halts
this phase-out, permanently locking in full expensing for qualifying property. This makes immediate expensing a
lasting feature of the tax code, providing long-term certainty for capital-intensive industries and creating a
predictable environment for investment planning. This means businesses can write off the entire purchase price of
eligible assets in the same year they are put into use, rather than depreciating them over multiple years.

Property eligible for the expensing and depreciation includes:

  • Machinery and Manufacturing Equipment
  • Production Line and Assembly Equipment (automated assembly machines, bottling, canning, or labeling
    machinery, textile manufacturing and cutting equipment, automated sorting, weighing, and measuring
    systems)
  • Specialized Industry Machinery (semiconductor fabrication tools and cleanroom equipment,
    pharmaceutical manufacturing and tablet press, agricultural processing equipment, woodworking
    machines, etc.
  • Support & Ancillary Equipment (industrial HVAC systems dedicated to production environments, dust
    collection and ventilation systems for manufacturing floors, power generators and compressors, quality
    control and testing equipment directly related to production, etc.)
  • Computers and Servers
  • Vehicles over 6,000 lbs. and work-use vehicles modified for business use (box tucks, refrigeration,
    permanently mounted tools, etc.) and some vehicles under 6,000 lbs.
  • Improvements to non-residential buildings (HVAC systems, fire protection, security systems, energyefficient
    lighting)

Other items to consider:

  • The property can be either new or used. The 2017 rule change made used equipment eligible if it is the
    taxpayer’s first use.
  • The property must be acquired and placed in service within the applicable tax year.
  •  The property must have a recovery period of 20 years or less (most manufacturing machinery qualifies).
  • Property improvements like building expansions, utility connections, and dedicated infrastructure to
    support the equipment may also qualify if they are considered part of the production system.

Example: A mid-sized construction firm purchases a $350,000 excavator to expand its site development
capabilities. Under 100% bonus depreciation the company can deduct the full purchase price in the year the
machine is placed in service.

  • At a 21% corporate tax rate, the deduction reduces taxes by $73,500 in year one.
  • That $73,500 in retained cash can be reinvested immediately covering the cost of hiring additional crew,
    bidding on larger projects, or upgrading other equipment.
  • If the new excavator enables the company to take on two additional site prep projects annually, each
    netting $50,000 in profit, that’s $100,000 in extra annual revenue—on top of the initial tax savings.
  • The combined $173,500 in first-year benefits (tax savings + additional revenue) covers nearly half the
    purchase price within 12 months, accelerating profitability and reducing financing pressure.

Immediate expensing presents a strategic window of opportunity that smart businesses cannot afford to ignore. By
allowing you to deduct the full cost of qualifying assets in the year of purchase, it delivers substantial tax savings
and frees up valuable cash that can be reinvested to drive growth, innovation, and market expansion.

Acting quickly is essential securing these benefits now not only maximizes your financial advantage, but also
protects your business from the uncertainty of future tax law changes. For capital-intensive sectors such as
manufacturing, logistics, construction, technology, agriculture, and transportation, this is more than a tax break—it
is a chance to strengthen your competitive position, accelerate your investment plans, and build long-term
resilience.

At the same time, we are pleased to welcome a friend and ally of NMSDC, the Honorable Don Cravins, Jr., former Under Secretary of Commerce for the Minority Business Development Agency, as Interim CEO. A respected national leader, Don brings deep experience in economic empowerment and a lifelong commitment to advancing minority business enterprises. Over the past year, he has served as a valued NMSDC Board member and Chair Designee, supporting the Executive Committee and helping advance our mission. His leadership, credibility, and passion for creating economic opportunity will ensure a seamless transition as we launch a national search for NMSDC’s next permanent CEO.

His past client list of 240 organizations includes fourteen Fortune 500 companies in multiple industries and four federal agencies. Anton’s forward-thinking insights yielded tangible results in customer growth, employee retention, leadership development, and corporate social responsibility.

Recently, Anton was named one of the Ten Most Influential Minority Executives in Healthcare by Fierce Healthcare. Before retirement, Anton was the inaugural Chief Diversity Officer and Executive Director of Community Health Innovation at MUSC Health System. Anton designed, developed, and implemented the $1.6B healthcare enterprise’s workforce diversity, supplier diversity, and CSR strategy. His efforts resulted in multiple national awards, including Forbes’ recognition as one of the Top Employers for Diversity in America. Under his leadership, the diversity of the C-suite increased to 24% within five years, and 72 new minority suppliers were on boarded. In addition, these suppliers were awarded contracts totaling 51% of the controllable dollars on a $389 million construction project—the largest in the enterprise’s history.

Before his work at MUSC Health, Anton served as a two-time presidential appointee under the 44th President of the United States, Barack H. Obama. Anton is nationally recognized for his critical role as a principal advisor to the President and the Secretary of Health and Human Services. As a senior advisor and strategist, he helped develop and execute the long-term and short-term customer-acquisition strategy to reach stakeholders on the Affordable Care Act (ACA).These efforts resultedin7 million new health insurance customers in the nation’s first insurance marketplace. Anton has 25 years of board experience, including serving as the current Chairman of the Richland-Lexington Airport Commission. He also serves on the boards of Community Catalyst, Inc., CVMSDC, and the National Black Empowerment Council. He is a former Executive Committee Member of the Charleston (SC) Metro Chamber of Commerce and a former Advisory Board Member of Medicast, Inc., a healthcare technology start-up. Originally from Virginia, Anton has a bachelor’s and a master’s degree from the University of South Carolina, where he played college football. He is also a former Resident Fellow at Harvard University. Anton is the best selling author of three books and has been featured in TIME magazine, the Wall Street Journal, INC Magazine, BBC News, NPR, and Good Morning America. He lives in Columbia, SC, with his wife Tiffany; they have one adult child.

Ayesha Driggers is the Director for the City of Columbia Office of Business Opportunities. She is responsible for providing support, training, technical assistance, and capital assistance to small, minority and women owned businesses in the retail, services, and construction industries. Her duties also include overall management and oversight of the city’s commercial revolving loan funds, disparity study implementation, contractor and supplier diversity initiative, and the commercial retention and development program. With over 20 years as a public servant in state and local government, she serves as an advocate for our small business community.

Ayesha received both her Bachelor’s in Political Science and Master’s in Public Administration from the University of South Carolina.

Supplier Diversity Program Manager – SCM Procurement and Center of Excellence

Dallas Simmons is the Supplier Diversity Program Manager in the SCM Procurement and Center of Excellence Department with Dominion Energy, Inc. As Supplier Diversity Program Manager, he is responsible for promoting and implementing Dominion Energy’s Supplier Diversity strategy as well as driving value enhancement in supply chain management strategies.  He is the primary contact with external Supplier Diversity Advocacy Groups, Diverse Suppliers, and peer Utility Supplier Diversity professionals.

Dallas joined Dominion Energy in 2001 as a Manager – Accounting.  He became Manager – Accounting Services in 2003, Project Manager – Six Sigma in 2006 and Manager – Shareholder Services in 2009.  He assumed his current post in 2016.

Before joining Dominion Energy, Dallas served as Comptroller for Virginia Union University from 1990-2000.  As Comptroller he oversaw the University’s Accounting, Financial Aid and Student Accounts departments.  Prior to joining the administration at Virginia Union in 1990, Dallas worked in the corporate accounting department for Duke Energy in Charlotte, NC.  In that role he was responsible for preparing the company’s monthly income statement and balance sheet as well as analyzing monthly earnings for upper management.

Dallas received his bachelor’s degree in Accounting from North Carolina Central University and he is a Certified Public Accountant. He currently serves on the Board of Directors for The Metropolitan Business League, Carolinas-Virginia Minority Supplier Development Council and Team Richmond AAU Boys Basketball.
