All those who don’t receive care will then simply have to die of suffocation.

With the growth of the knowledge-based economy, the value of a company will be increasingly formed by its intangible assets, such as intellectual property (IP) and know-how. It is estimated that, currently, 70% of the valuation of companies is comprised of these type of assets (The Telegraph, January 2017), and that trend is not likely to stop.

There is also a push for open-innovation and using open-source tools, allowing for easier research and development, and being accessible at a much lower cost than using proprietary solutions. This in turn leads to the creation of even more intellectual property and know-how, which can be provided via very accessible licensing terms (such as the use of Creative Commons Licensing) or by hiring the right people (as showcased by the generous salary conditions of Twitter’s head engineer, at over $10 million USD a few years back; Link).

In places like Montreal (Quebec, Canada), the knowledge-based economy is booming, especially in sectors such as artificial intelligence. Research and development is well-funded through investments (via industry players such as Facebook and Google as well as the Federal government) combined with a vast talent pool that can be recruited, creating a boom. Add to this the investors who focus on the quality of teams and getting to market fast, due to an everchanging technological landscape, and we are in an impressive confluence of economic growth and innovation.

However, this boom of growth and innovation is focused on the short-term, not necessarily with a long-term perspective, even going so far as having a “let the good times roll” attitude.

And within this perspective, intangible assets such as IP are overlooked until needed, when market forces require it. Admittedly, this does not seem to be a problem in the present, but something to think of when the time comes. Even know-how can be taken for granted, which may be expensive now, but with more qualified persons being trained over the next few years to take advantage of this economic cycle, the cost will go down (by simple supply and demand).

In this context, what happens with intangible assets a few years down the road? Without an IP strategy in place from the early stages, short term vision (facilitated by a substantial influx of funds from various sources) puts into peril long-term growth and value creation.

Currently, valuations and IP protection are not considered for the upstarts in the AI world, since funds are readily flowing into the knowledge-based economy. Firstly, this confuses the concept of true value (which is created over time) with money being injected in businesses (the mantra of “the value of the project/company is whatever someone is willing to pay right now” with the present moment being very lucrative). Secondly, this also ignores the IP that is being created in this cycle, the actual building blocks of future value within the knowledge-based economy, whether it is being protected (in a casual fashion) or not.  In other words, following the attitude of protecting IP when the market requires it or when a competitor just might be breathing down your neck, appears to be a reactive attitude to take if you are creating new markets or causing paradigm shifts, rather than a proactive attitude.

Currently, funds are easily available, whether governments and business leaders are aware or not, to help build the foundations of new industries in specific sectors of the economy, and not there as a means to make quick money or attract more so-called easy money. And what are these foundations? Intangible assets such as know-how and intellectual property, such as patents.

Some observers have opined that we are in a bubble and that this bubble will burst at some point.  The easy money will dry up. Once that occurs, what will the current slew of companies have in terms of assets? Know-how (i.e. people) will leave to the highest bidder and any unproperly protected IP will be snapped up. Who will be the winners? Those who took the time to have a robust IP strategy in place at the earliest time.

A real-world example of this is an often-used example: Apple. During the last economic downturn, the company increased its R&D spending and its acquisitions (Link). Why? Through all the business jargon and reports, there lies an IP strategy, an IP strategy aligned with their business strategy. This paid off in the long term, since Apple is legitimately a world-class market leader, with a solid IP portfolio, spanning patents, industrial designs, trademarks, copyright, as well as know-how and trade secrets.

Now let’s deal with a possible point of confusion: We are talking here about “Xennial”, a noun describing a generational category, and not “Xenial”, which is an adjective describing someone who is friendly, especially to visiting strangers. Of course, a “Xennial” could be “xenial”. With this out of the way, time to leave the quotation marks behind and delve into the subject at hand.

So what are Xennials? Within the construct that is time, they are a sub-generation that straddle Gen Xers (born in the 1960s and 1970s) and Millennials (born in the 1980s and 1990s). Approximately, those born from 1977 to 1983. The word itself was coined by writer Sarah Stankorb, and first appeared in September 2014 in GOOD magazine.

But what does that mean on a more practical, life-experience level? The best description for this is given in the Wikipedia entry for Xennials, which states: “Xennials are described as having had an analog childhood and a digital adulthood.”

So there you have it. I’m part of the group who had to call friends up and leave a message (with someone or the answering machine) if they were not around. I’m part of the group that had to watch shows when they aired or else had to program the VCR to record them for viewing at a later time. I’m part of the group that got their first cell phone and actually used it for phone calls and started using a feature called “SMS” (with T9 predictive text entry no less, i.e. there was no keyboard).

I’m part of the group that saw the birth of the commercial Internet and began using it from the onset. I’m part of the group that knew about Amazon when it was simply an online bookstore. I’m part of the group that browsed the web on dial-up modems and searched the World Wide Web without the help of Google since it did not even exist yet. I’m part of the group that remembers calling long-distance could cost an arm and a leg and not be that great in quality either.

I’m also part of the group that saw the Internet evolve and see the technology behind it change. The jump to high-speed connections, first wired then wireless? Check. The rise of the smartphone? Check. The rise of international low-cost (or no-cost) communications? Check. The birth and rise of social media? Check. And yes, there was a time when the Internet did not have social media (you relied on a combination of message boards and email newsletters for given topics or hobbies. IRC anyone?).

And music? I’m part of the group that went from cassettes to CDs, then to MP3s (first ripped from CDs then from online stores), followed with different streaming services, culminating to today’s Apple Music / Google Play / Spotify world (yes, there are other services, but those are the big 3 right now).

And what about video? I’m part of the group that grew up with VHS cassettes and then saw the dawn and rise of the DVD (and the subsequent demise of the VHS format). I’m part of the group that knew Netflix as a postal DVD rental service, in a time where you had to go to a rental store (such as Blockbuster) to grab a video (on VHS then later DVD) of the movie or show you wanted to watch. And just like with Netflix, the DVD then made way for streaming (with the increased prevalence of high-speed internet access).

And photography? I’m part of the group that used film cameras (and remembers Kodak film), then started using digital cameras when they came on the market (and became affordable).

So yes, I’m a Xennial. I saw the world go from analog to digital, technologically-speaking. The reality is we still live in an analog world, that has not changed, it is just that we as a society have given it the digital treatment. I’m part of the group that can recognize that.

Ceci étant dit, les améliorations dans le transfert technologique sont souvent axées sur des questions techniques le long de la chaine procédurale. Qu’en sont alors des éléments stratégiques nécessaires pour avoir un transfert technologique efficace? Il faut comprendre que les activités de valorisation ne se font pas dans une bulle, soit seulement au sein d’un institut ou d’une organisation, mais elles se font dans le cadre de la région où se situe l’institut ou l’organisation en question.

Le Dr Martin Hinoul, l’architecte du modèle de valorisation de KU Leuven, a déterminé 10 ingrédients nécessaires, dans la région où sont entreprises des activités de valorisation, pour assurer un transfert technologique réussi. Pourquoi les définir comme des ingrédients? L’analogie est celle d’un chef de renommée qui est capable de prendre des ingrédients de base et d’en faire un plat fabuleux. Les 10 ingrédients nécessaires sont :

  • Centres du savoir
  • Entrepreneurs & modèles à émuler
  • Argent
  • Marchés des capitaux
  • Infrastructure
  • Politique de pôles (industriels/innovation)
  • Présence d’entreprises internationales
  • Réseaux
  • Gouvernement
  • Qualité de vie

Une liste facile à suivre, mais qu’est-ce que chaque ingrédient fait dans le plat d’une valorisation réussie? Il faut avoir des centres du savoir (tel que les universités) pour être une force en recherche, ainsi être une des sources d’innovation, et une source d’expertise. Ceci nécessite de l’argent pour avoir un rendement et une qualité de haut calibre. Il faut avoir des entrepreneurs et des modèles à émuler pour pousser les technologies plus loin et accès aux marchés des capitaux pour permettre le développement et la croissance de celles-ci. Pour faciliter toutes ces activités de recherche et de développement, il faut avoir une infrastructure pour les soutenir (tel que les incubateurs d’entreprises) et une politique des pôles pour promouvoir et valoriser l’expertise dans des domaines particuliers. La présence d’entreprises internationales permet un accès à des marchés étrangers et nous amène à avoir une vision mondiale dans la valorisation de nos technologies. Il faut avoir des réseaux (tel que BioTech Annecto dans le cadre du réseautage en biotechnologie) pour permettre l’échange d’informations et d’idées dans un domaine ou une région, ce qui crée de nouvelles opportunités. Le gouvernement (quel que soit le niveau) doit comprendre l’importance de l’innovation et du transfert technologique, pour mettre en place des politiques qui en facilitent les activités. Finalement, il faut assurer une bonne qualité de vie pour les gens qui ouvrent non seulement dans les différentes activités de valorisation, mais aussi pour ceux qui vont travailler dans le cadre des activités économiques qui en découlent (tel que les nouvelles compagnies créées).

Maintenant, les différentes régions qui entreprennent des activités de valorisation vont avoir ces ingrédients en quantité variable et de qualité différente. Il faut alors faire le bilan des forces et faiblesses pour savoir comment mieux améliorer et utiliser ces ingrédients, en jouant sur ses atouts et en mitigeant ses lacunes.

Cependant, il n’est pas seulement question d’avoir ces 10 ingrédients pour réussir, il faut qu’ils soient mis à l’œuvre de façon coordonnée, dans le but assurer une valorisation efficace et soutenue des innovations qui sont issues des différents joueurs de la région.

En faisant ceci, nous assurons un développement économique régional diversifié et continu, au profit de tous les citoyens présents.

Un exemple de ceci est le fait que dans des parties du monde il y a des succès immenses (comme Silicon Valley avec eBay, Facebook et Google), mais pas, de façon comparative, dans d’autres.

Durant ce processus, il faut tenir compte d’un facteur important : le risque. Ce risque doit toujours être évalué et son effet sur le rendement déterminé. Effectivement, si le risque est plus grand, le retour sur l’investissement est potentiellement plus grand. De même, si le risque est très petit, le retour va probablement être petit. En sachant ceci, il faut déterminer le niveau de confort avec le risque : avoir un grand retour est possible si la tolérance de risque est grande.

Dans les endroits comme Silicon Valley, où une culture entrepreneuriale est implantée, il semble avoir une tolérance plus élevée du risque qui permet, en partie, des retours impressionnants. Cependant, tout le monde ne peut pas être comme ceci. Alors, comment permettre des retombés plus importants? Il y a des moyens de mitiger le risque, dans le but avoir un grand rendement, tel qu’en le distribuant : plus d’investisseurs qui mettent des sommes modiques dans un projet assurent que le risque est distribué sur un plus grand nombre. Ceci permet le développement du projet, ainsi que les retombées possibles, tout en minimisant l’impact négatif d’une perte.

Mais comment visualiser ceci dans un exemple plus pratique? Patrick Roy, Wayne Gretzky, Sidney Crosby, Mario Lemieux : des étoiles et légendes du hockey qui ont remporté des trophées, divers prix, la Coupe Stanley à plusieurs reprises pour leurs équipes et même des médailles d’or pour le Canada. Comment fut-ce possible? Un investissement de temps et d’argent par des milliers de familles à travers le pays, fournissant ainsi de milliers de joueurs nécessaires pour développer le talent à travers les différents niveaux de hockey junior, année après année. En fin de compte, ceci donne la chance de produire un certain nombre de joueurs d’impact au niveau professionnel. Et un exemple de retour sur cet investissement? Gagner la médaille d’or olympique (hiver 2010) au hockey masculin… en prolongation.

Cela semble simple, mais ne l’est pas. Un professionnel de transfert technologique a besoin de travailler en collaboration avec le chercheur pour une commercialisation réussie. Cela implique de travailler ensemble, en tant que partenaires, et d’avoir de bonnes voies de communication. Certains chercheurs ont plus d’aptitude en ce qui concerne le développement des innovations et d’autres moins, mais l’expertise technique qu’ils fournissent ne doit jamais être oubliée. Avoir une bonne communication vous permet également de savoir quelles sont leurs préoccupations et vous aide à planifier une stratégie plus efficace (par exemple, savoir quand un chercheur veut présenter les résultats lors d’un congrès est important dans la planification d’une stratégie de protection de propriété intellectuelle).

En plus d’avoir une bonne relation de travail avec le chercheur, le professionnel de transfert technologique devrait travailler avec ceux qui veulent réellement participer à la valorisation commerciale de leurs innovations. Une erreur qui est faite est d’essayer d’obtenir des innovations de chercheurs qui ne veulent pas faire partie du processus. Il est important d’informer tous les chercheurs de la possibilité de valoriser leurs innovations, mais de seulement travailler avec ceux qui ont intérêt à le faire. Cela favorise une meilleure utilisation du temps et de l’effort d’un professionnel de transfert technologique et veille à ce que le chercheur soit un partenaire actif et sérieux dans le processus.

Tout cela fait que vous avez une bonne relation de travail avec les chercheurs qui veulent faire partie du processus de transfert technologique. Le Québec et le reste du Canada sont forts au niveau de la recherche universitaire et du développement qui en découle, mais il y a tout le temps moyen d’améliorer les chances pour avoir la juste valeur pour les innovations qui en découlent.

Une implication de la source des innovations, les chercheurs, est importante.

Toute innovation universitaire vient du chercheur. C’est la source des innovations et la personne qui comprend le mieux la science derrière. Il faut aussi comprendre que le chercheur est intéressé par la science en premier.

Pour ce faire, il faut s’assurer qu’une structure est en place pour permettre aux chercheurs dans les départements à collaborer entre eux, au profit de la science, et de générer des revenus, soit par la valorisation des innovations ou le nouveau contrat de travail. Certaines universités ont des structures divisionnaires mises en place (codifié ou non, tel que la KULeuven ou l’Université de Montréal), permettant le réinvestissement des redevances, issues des innovations commercialisées, dans d’autres projets de recherche. Les laboratoires qui réinvestissent le font non seulement dans la recherche appliquée, mais aussi dans la recherche fondamentale, car la recherche fondamentale d’aujourd’hui pourrait être la source de recherche appliquée dans le futur. Cela permet aux laboratoires de compléter le financement public avec des revenus supplémentaires.

Il est important de noter que les chercheurs doivent toujours être libres de mener leurs recherches comme ils le veulent, donc respecter l’indépendance scientifique, et qu’ils peuvent toujours compter sur les subventions gouvernementales (au complet ou en partie) pour poursuivre leur travail.

S’assurer que les professionnels de la valorisation ont les outils nécessaires.

Pour les professionnels de la valorisation, il est important qu’ils aient les outils dont ils ont besoin pour protéger et commercialiser les innovations qui sortent des universités. Un aspect important de leur travail est la protection de la propriété intellectuelle (PI). Cela nécessite des ressources financières et il est essentiel que ce travail ne repose pas uniquement sur les délais de financement externes (tel que les subventions gouvernementales) ou être limité par la situation financière du chercheur (par le manque de fonds de celui-ci). Un moyen de résoudre ceci serait la création d’un fonds de brevet, ce qui a été fait dans des universités comme la KULeuven en Belgique. Ceci donne aux professionnels de valorisation la flexibilité et la vitesse nécessaires pour protéger de façon efficace la PI.

Avoir une source de financement initiale, à porter de la main, est utile pour des spin-offs.

La création d’une spin-off, basée sur des technologies développées par des chercheurs universitaires, nécessite un financement de démarrage initial. Cette étape peut se révéler difficile, surtout lorsque la situation économique n’est pas optimale. Une façon de contourner ceci est d’avoir un fonds de capital de risque interne (ce qui a été fait dans des endroits comme KULeuven), où l’université en question et les partenaires financiers, comme les banques, participent en tant que partenaires. Il y a deux avantages à avoir un tel fonds: 1) le développement de l’expertise et 2) le développement d’un réseau financier. Cela permet le début d’une relation plus étroite avec le secteur de la finance, qui à son tour amène une meilleure compréhension de l’institution académique pour ce qui est nécessaire, dans la préparation et l’information, lors d’une demande de financement. En retour, les partenaires financiers sont en mesure d’observer à quel point l’institution est sérieuse d’assurer la valorisation réussite des ses technologies. Par ailleurs, ayant une relation avec des partenaires financiers du fonds permet un accès facilité à du financement externe, en raison de la crédibilité conférée par une relation préexistante avec le secteur financier.

Une approche multidirectionnelle

La combinaison d’implication des chercheurs universitaires, d’une protection de PI plus facile et un fonds de capital de risque permettant l’amorçage initial d’une spin-off universitaire prévoit une approche où les sources d’innovation, ainsi que les professionnels qui les valorisent, sont donnés les outils et l’environnement nécessaires pour parvenir à des résultats de transfert de technologie encore plus réussis.
