EW Scripps continues its sell-off of its radio assets with a deal to sell its eight stations in Boise ID and Tucson AZ to Lotus Communications for $8 million. In Boise, Lotus will enter the market with AAA “94.9 The River” KRVB, Active Rock “100.3 The X” KQXR, Classic Rock “J105” 105.1 KJOT, and Classic Hits “107.1 K-Hits” KTHI. Lotus will acquire AC “94.9 Mix-FM” KMXZ, Conservative Talk 104.1 KQTH, Rhythmic Oldies “106.3 The Groove” KTGV, and Sports “ESPN Tucson” 1490 KFFN/104.9 K285DL in Tucson. However as the company already owns 1 AM and 3 FMs in the market, it will place KTTH and KTGV in a divestiture trust. The company currently owns Regional Mexican “Caliente 92.1” KCMT, Classic Rock 96.1 KLPX, Alternative “Rock 102.1” KFMA and Spanish AC “La Buena 94.3” 990 KTKT/94.3 K232FD. The acquisitions bring Lotus to 40 stations across four states. The E.W. Scripps Company (NASDAQ: SSP) has reached an agreement to sell eight radio stations in Boise, Idaho, and Tucson, Arizona, to Lotus Communications Corp. for $8 million. California-based Lotus Communications is purchasing KMXZ (94.9 FM), KFFN (1490 AM and 104.9 FM), KQTH (104.1 FM) and KTGV (106.3 FM) in Tucson and KJOT (1051. FM), KQXR (100.3 FM), KRVB (94.9 FM) and KTHI (107.1 FM) in Boise. n its portfolio of stations, Lotus Communications operates four radio stations in the Tucson market and will immediately divest of KQTH and KTGV in order to meet the Federal Communications Commission rules that cap station ownership in single markets. The transaction is expected to close in the fourth quarter. The sale is the third in a series of radio sale transactions for Scripps. In June, it announced the sale of five radio stations in Tulsa, Oklahoma, to Griffin Communications, followed by a July announcement that it will sell its two Milwaukee radio stations to Good Karma Brands. The company announced in January its intent to sell its portfolio of 34 radio stations in eight markets. “Lotus Communications’ commitment to serving local communities – with a focus on western region markets in particular – makes it a natural fit to run the Boise and Tucson stations,” said Adam Symson, Scripps president and CEO. “This deal sets up the stations for continued success.” Lotus Communications is one of the largest privately held radio station groups in the U.S., founded in 1962 and headquartered in Los Angeles. Back then, people were losing their homes as home values crashed and homeowners went underwater. Home construction per household is now at its lowest levels in nearly six decades, according to researchers at the Federal Reserve Bank of Kansas City. The four-course meal on Saturday, Aug. 18, will pair Scoria Vineyards wines with inventive dishes created by Chef Gordon Epperson of Gordon's Catering. Caldwell's Indian Creek Plaza has been open for less than a month, but Destination Caldwell is already putting it to good use as an event venue. Its latest brainchild is a series of "Farm-to-Cork" dinners spotlighting Caldwell wineries and a rotating cast of local chefs; guests to these upscale parties will sit family-style at a single table on the plaza, sipping wine in the summer sun. The first four-course meal on Saturday, Aug. 18, will pair Scoria Vineyards wines with inventive dishes created by Chef Gordon Epperson of Gordon's Catering. "We want to tap into those individuals who love and enjoy wine," said Melissa Nodzu, director of events for the plaza. "People who have never, or seldom ever, travelled to Caldwell. Ideally, we want to capture an audience within a 30- to 40-mile radius of the plaza; people who are looking for new experiences and are interested in learning more about the agricultural diversity of Canyon County." Epperson certainly plans to spotlight that diversity. His menu, drawn up after a tasting of four different wines from Scoria, has a hyper-local focus and breaks out of the usual appetizer-to-entree-to-dessert order mold.  "We don’t have to follow traditional lines when we do these tastings—the wines pretty much tell us what we can do," Epperson said, adding, "All of our dishes are invented just for this purpose." Epperson gave Boise Weekly a peak at the preliminary menu, which includes:  1) Dry Riesling Course: Almond, fig and date grilled cheese toasted ravioli. Golden apple, Zephyr squash and Thai basil slaw with fresh lime, honey-lemon-thyme vinaigrette. 2) Chardonnay Course: Greek lemon chicken with dill, capers, olives and lemongrass. Sweet mashers with cinnamon yam garnish and lemon preserves-infused olive oil drizzle. 3) Petit Verdot Course: Pork carnitas en mole with corn masa, toasted macadamia, glazed pepitas, pineapple sage and star anise Cotija. Dark chocolate sprinkle. 4) Malbec Course: Cherry balsamic glazed beef with Gorgonzola, Jamaican jerk-spice chimichurri and grilled garden squash. Cilantro-lime drizzle.   Dessert: Flying M coffee with a dark chocolate coconut macaroon. According to Destination Caldwell, ingredients for the dishes will be sourced from Justin Christensen Farms in Melba, Stewart Farms in Nampa, The Flying Pig Farm and Vogel Farms in Kuna, Lakeview Fruit in Caldwell, Wagner Farms in Meridian, True Roots Organics in Nyssa, Oregon, and Epperson's personal garden. The Texas Rangers, parent club of the Spokane Indians, will promote right-handed starter Hans Crouse to Low-A Hickory, where he will start on Saturday, according to multiple reports.

Jeff Wilson of the Fort Worth Star-Telegram also reported that right-handed starter Yerry Rodriguez will be promoted from the Rangers rookie-level Arizona League team to Spokane.

Neither the Rangers or the Indians have issued a release.

Crouse tossed a hitless, scoreless inning with a pair of strikeouts in the Northwest League-Pioneer League All-Star Game on Tuesday.

Crouse, 19, was the Rangers second-round pick in the 2017 MLB Draft and is ranked No. 5 by MLB.com among Rangers top prospects. He started eight games with the Indians this summer, going 5-1 with a 2.37 ERA (10 earned runs) and 0.70 WHIP with 47 strikeouts and 11 walks over 38 innings.

He pitched for the Rangers AZL team last season and allowed one earned run over 20 innings (0.45 ERA) with 30 strikeouts.

“Hans is a special kid, on and off the field,” Rangers assistant director for player development Paul Kruger said last week. “You see the emotion every night here. And it’s positive emotion. It’s excitement. It’s competitive.”

Kruger said the atmosphere in Spokane was one of the reasons Crouse was assigned to the Indians. It’s allowed Crouse to not only dominate with his mid-to-upper 90s fastball, but hone his two breaking balls and developing changeup.

“The changeup is something (Crouse) has really been working on lately,” Kruger said. “Throw it. Throw it in games where you know you can at times overpower hitters with your fastball. You’ve got an above-average breaking ball, but can you work on your changeup?

“The work that (manager) Kenny (Holmberg) and Jono Armold , our pitching coach have done has been tremendous,” Kruger said. “I think (Crouse’s) future is really bright as a front-end type of guy for the organization.”

Rodriguez, 20, is from the Dominican Republic. In eight games and six starts with the Rangers AZL team this summer, he went 2-2 with a 3.52 ERA and 1.07 WHIP with 55 strikeouts and three walks over 38 1/3 innings.

Rodriguez is the Rangers’ No. 30 prospect according to MLB.com. He throws a 91-94 MPH fastball that reaches 96 with a sweeping slider and changeup.

Rodriguez missed almost all of the 2017 campaign due to an 80-game suspension for violating MLB’s performance enhancing drug policy.

The Indians return from the all-star break at Boise on Thursday at 6:15 p.m.

The New York Times reports that Collins insists he's innocent and will remain on the ballot this November. Albertsons and Rite Aid have called off their plans to merge. The two mega-retailers announced this past February that they would join forces, but CNBC reports that the deal has been shelved pending what was expected to be a less-than-enthusiastic shareholder vote. Meanwhile, Tribune Media says it's ending its deal to merge with the Sinclair Broadcast Group, and is suing Sinclair for breach of contract. CNN reports that the Federal Communications Commission had questioned whether the pending agreement was in the public interest. Tribune employees were notified that the deal was off in a lengthy early-morning memo from Kern that blasted Sinclair and said Tribune had done "everything it was supposed to do." The four-course meal on Saturday, Aug. 18, will pair Scoria Vineyards wines with inventive dishes created by Chef Gordon Epperson of Gordon's Catering. Caldwell's Indian Creek Plaza has been open for less than a month, but Destination Caldwell is already putting it to good use as an event venue. Its latest brainchild is a series of "Farm-to-Cork" dinners spotlighting Caldwell wineries and a rotating cast of local chefs; guests to these upscale parties will sit family-style at a single table on the plaza, sipping wine in the summer sun. The first four-course meal on Saturday, Aug. 18, will pair Scoria Vineyards wines with inventive dishes created by Chef Gordon Epperson of Gordon's Catering. "We want to tap into those individuals who love and enjoy wine," said Melissa Nodzu, director of events for the plaza. "People who have never, or seldom ever, travelled to Caldwell. Ideally, we want to capture an audience within a 30- to 40-mile radius of the plaza; people who are looking for new experiences and are interested in learning more about the agricultural diversity of Canyon County." Epperson certainly plans to spotlight that diversity. His menu, drawn up after a tasting of four different wines from Scoria, has a hyper-local focus and breaks out of the usual appetizer-to-entree-to-dessert order mold.  "We don’t have to follow traditional lines when we do these tastings—the wines pretty much tell us what we can do," Epperson said, adding, "All of our dishes are invented just for this purpose." Epperson gave Boise Weekly a peak at the preliminary menu, which includes:  1) Dry Riesling Course: Almond, fig and date grilled cheese toasted ravioli. Golden apple, Zephyr squash and Thai basil slaw with fresh lime, honey-lemon-thyme vinaigrette. 2) Chardonnay Course: Greek lemon chicken with dill, capers, olives and lemongrass. Sweet mashers with cinnamon yam garnish and lemon preserves-infused olive oil drizzle. 3) Petit Verdot Course: Pork carnitas en mole with corn masa, toasted macadamia, glazed pepitas, pineapple sage and star anise Cotija. Dark chocolate sprinkle. 4) Malbec Course: Cherry balsamic glazed beef with Gorgonzola, Jamaican jerk-spice chimichurri and grilled garden squash. Cilantro-lime drizzle.   Dessert: Flying M coffee with a dark chocolate coconut macaroon. We owe it to them ... to improve access to screenings and treatment.” A new analysis of American states and public policies that help fight cancer gives Idaho low marks. The report, released this morning by the Cancer Action Network of the American Cancer Society says the Gem State "didn't measure up" to any of the policy recommendations in a number of areas, including funding for cancer screening programs, smoke-free laws, cigarette tax levels, funding for tobacco prevention and cessation programs, and access to care through Medicaid. Luke Cavener, government relations director for ACS CAN, points to the current effort to expand Medicaid coverage which will be put before Idaho voters in this November's general election as a step in the right direction. "One critical area where voters have the power to make a difference for Idahoans immediately is passing Proposition 2 to expand Medicaid,” said Cavener. “This year alone in Idaho, 8,450 people will be diagnosed with cancer and more than 3,000 will die from the devastating disease. Rite Aid and the grocer Albertsons called off an agreement to become a single company with the deal facing shaky prospects in a shareholder vote.

Shares of the drugstore chain plunged after markets opened Thursday.

The owner of Safeway and other grocery brands had announced in February plans to buy Rite Aid's more than 2,500 stores with the goal of becoming "a leader in food, health and wellness." But a major shareholder and two proxy advisory firms came out against the deal.

Rite Aid Chairman and CEO John Standley said in a prepared statement late Wednesday that after hearing the views of shareholders, the drugstore chain is "committed to moving forward and executing our strategic plan as a (stand-alone) company."

Rite Aid also said its board will consider governance changes, although it did not elaborate.

The company cancelled a shareholder meeting to vote on the deal that had been scheduled for Thursday. Both businesses said neither party will be responsible for any payments due to the deal's termination.

Privately held Albertsons Companies, based in Boise, Idaho, was offering either a share of its stock and $1.83 in cash or slightly more than one Albertsons share for every 10 Rite Aid shares.

One of Rite Aid's biggest shareholders, Highfields Capital Management, said that deal was "in the best interests of Albertsons and Rite Aid management, but not Rite Aid shareholders." The investment firm said in June that it would vote its roughly 47 million shares against the deal.

Two prominent shareholder advisory firms — Glass Lewis & Co. and Institutional Shareholder Services — also recommended no votes. Glass Lewis said the deal was "not critical to Rite Aid's viability" and provided no meaningful premium to investors.

ISS, meanwhile, said it was concerned that the deal would introduce a new set of risks from the grocery business.

Rite Aid, based in Camp Hill, Pennsylvania, has remodeled many of its stores to expand pharmacy services and offer more health products. It also has a pharmacy benefit management business to bring in customers.

But it will face significant challenges continuing as a stand-alone company. The drugstore chain has struggled with high debt levels and tough competition, as narrowing drugstore networks have pushed customers away from its stores.

The company has neither "the scale nor the balance sheet to compete with much larger and well capitalized rivals like CVS and Walgreens," Moody's Vice President Mickey Chadha said in an email.

Earlier this week, Rite Aid said it was chopping its fiscal 2019 forecast because generic drug pricing wasn't shaping up how it expected in April, when it first laid out expectations.

The nation's largest drugstore chain, Walgreens, tried unsuccessfully to buy all of Rite Aid last year but scuttled that deal after encountering regulatory resistance. Last September, Walgreens Boots Alliance Inc. announced a slimmer agreement to buy nearly 2,000 Rite Aid locations and some distribution centers for about $4.38 billion.

Rite Aid had told shareholders last month that the Albertsons deal would help build scale and diversify as the company deals with increased competition and pressure on drug reimbursement rates.

Shares of Rite Aid fell nearly 12 percent to $1.53 at the opening bell, it's worst sell-off in a year.

BOISE, Idaho, and CAMP HILL, Pa. -- The planned marriage between Albertsons Cos. and Rite Aid has been called off amid concerns that the drug chain’s investors wouldn’t approve of the $24 billion price tag just hours before they were set to vote on it.

The unraveling will apparently cost Albertsons a long-sought entry to the public markets as well as the company’s next CEO, but its board was unwilling to raise the price offered for its drugstore counterpart, the retailer said in a statement.

“Albertsons Cos. believes that the strategic rationale of the Rite Aid combination was compelling, including the $375 million of cost synergies and $3.6 billion of identified revenue opportunities," the company said. "We disagree with the conclusion of certain Rite Aid stockholders and third-party advisory firms that although they acknowledged the strategic logic of the combination, did not believe that Albertsons Cos. was offering sufficient merger consideration to Rite Aid stockholders.”

The statement, issued Aug. 8, continued: “Consistent with Albertsons Cos.’ disciplined approach to mergers and acquisitions, and after careful consideration of all information available to our board of directors through today, we were unwilling to change the terms of the merger.”

A spokesperson told CSP Daily News sister publication Wisight Grocery Business that the company had no immediate comment beyond the issued statement.

Albertsons and Rite Aid announced their planned merger in February, in a deal that was approved by the boards of both Boise, Idaho-based Albertsons and the Camp Hill, Pa.-based drug chain. Their plans called for a kind of reverse merger, in which privately held Albertsons would get on the New York Stock Exchange through an acquisition of Rite Aid’s publicly traded shares. Rite Aid CEO John Standley would then succeed veteran Bob Miller as Albertsons' CEO.

Albertsons, which is controlled by the private equity firm Cerberus Capital Management, has sought to go public for several years in part to address high levels of debt accrued as it grew from a small group of stores deemed unsellable when predecessor Albertsons Inc. was broken up in 2006 to a $60 billion, 2,300-store grocery chain with stores across the country. Its acquisitions since 2013 included reuniting the once sold-off Albertsons stores and American Stores banners such as Jewel-Osco and Acme by buying them back from Supervalu. It also acquired both United Supermarkets and Safeway in 2015.

Albertsons also saw the Rite Aid deal as a means to differentiate from competitors, more than double the number of outlets it operated, and benefit from the ongoing convergence of the food and wellness fields. Albertsons officials said its customers who user the pharmacy were higher-spending and considerably more profitable than food-only shoppers and that adding Rite Aid’s 2,500 stores would provide additional outlets to sell its private brands.

Albertsons said it remained “excited about the improving momentum, financial strength and industry leadership” of the company. “Our team has remained laser-focused on execution to drive our financial and operating performance, while ensuring we continue to meet and exceed the needs of our customers," the company said. "As a result, we have achieved a number of significant milestones, including delivering consecutive quarters of top-line and bottom-line growth. And as part of the Safeway merger, which is delivering higher than expected synergies, we will be completing the systems integration of the Albertsons stores to in-house systems in September. We also have continued to differentiate ourselves through our best-in-class 'Own Brands' portfolio that is expected to add over 1,100 new items this year, as well as through our expanding 'eCommerce offerings,' which grew 108% year over year in the first quarter.”

Its next step is not immediately apparent. Reports in 2017 had indicated in that Albertsons had interest in acquiring other publicly traded retailers such as Sprouts Farmers Markets, in part to reach the public markets after an attempt to launch an initial public offering on its own failed amid market uncertainty that accompanied food price deflation in 2016. It filed with the Securities and Exchange Commission to deregister 120.7 million shares of stock that were to be used in connection with the Rite Aid deal.

The breakup leaves Rite Aid in in similar uncertainty, and it represents the third time that an agreement to sell itself in recent years failed. A planned acquisition of Rite Aid by Walgreens in 2016 was considerably trimmed back after federal antitrust regulators intervened, as was an associated plan for Fred's Inc. to acquire stores Walgreens would not buy. Rite Aid in a statement said it also disagreed with investors and advisers who had signaled disapproval of the Albertsons overture and said its board was now “evaluating governance changes at the company.”

“While we believed in the merits of the combination with Albertsons, we have heard the views expressed by our stockholders and are committed to moving forward and executing our strategic plan as a stand-alone company,” Standley of Rite Aid said in a statement. “We remain focused on leveraging our network of conveniently located retail pharmacies, our EnvisionRxOptions PBM and our trusted brand of health and wellness offerings. We will continue building momentum for key areas of our business like our innovative Wellness store format, highly successful customer loyalty program and expanded pharmacy service offerings, as we also enhance our omnichannel and own brand offerings to strengthen our competitive position and create long-term value for stockholders.”

Under the terms of the merger agreement, neither Rite Aid nor Albertsons will be responsible for any payments to the other party as a result of the termination of the merger agreement.

The proposed Albertsons-Rite Aid deal faced opposition from a number of investors, including Highfields Capital Management. Investor advisory firms Glass Lewis and Institutional Shareholder Services also urged investors to vote against the merger.
